Introduction to the Certificate Course on Mergers & Acquisitions
The landscape of mergers and acquisitions (M&A) in India is evolving rapidly, marked by increasing complexity and regulatory demands. From private equity investments to cross-border acquisitions, legal professionals are expected to adeptly manage the entire deal lifecycle—from structuring and due diligence to negotiation and closing. Recognizing the need for advanced training in this field, the National Law University, Delhi (NLU Delhi), in collaboration with Mentblue, has launched a comprehensive Certificate Course on Mergers & Acquisitions: Due Diligence and Deal Making. This initiative, part of The Practice Series, aims to provide participants with a practical understanding of M&A transactions as they occur in top-tier law firms.
Course Highlights
The course is led by a distinguished faculty comprising partners and senior practitioners from eminent law firms such as Luthra & Luthra Law Offices, Trilegal, JSA Advocates & Solicitors, Saraf & Partners, Khaitan & Co., AP & Partners, IC RegFin Legal, and S&R Associates. These experts bring real-world experience to the classroom, offering insights into the intricacies of negotiating, structuring, and closing M&A deals.
Practical Learning Experience
Participants will gain an end-to-end view of the M&A deal process, from initial term sheets to post-merger integration. The course incorporates live deal scenarios using real transaction documents like annotated Share Purchase Agreements (SPAs), redacted due diligence (DD) reports, and term sheets, providing an authentic learning experience beyond theoretical case studies.
Course Structure and Content
The course is divided into five comprehensive modules:
- Module 1: M&A Foundations & Due Diligence – Covering the life cycle of an M&A deal and document review processes.
- Module 2: Legal Framework & Primary Transaction Documents – Focusing on key legal concepts and transaction agreements.
- Module 3: Deal Structuring & Investor Agreements – Examining shareholder agreements and the specifics of PE/VC deals.
- Module 4: Regulatory, Tax & Negotiation – Addressing tax implications and negotiation strategies.
- Module 5: Alternative Structures & Cross-Border Transactions – Discussing business and asset transfer agreements, including cross-border considerations under the FEMA regime.
The program also includes two assignment workshops for hands-on drafting exercises and a closing session on career opportunities and AI in M&A practice.

Program Details
The 2-month course spans 16 live online sessions held from September to November 2026, on weekends at 12:00 PM IST. Participants will have six-month access to session recordings. The course is open to law students, professionals, and graduates with corporate or transactional experience. Enrollment fees are ₹12,000 for students and ₹15,000 for professionals, inclusive of taxes. Successful participants will receive a Certificate of Completion from NLU Delhi’s Centre for Regulatory Studies.
