Anagram Partners and TLH Advocates Guide CtrlS in CAD$1 Billion Partnership with CPP Investments

CtrlS Datacenters has entered into definitive agreements forming a strategic partnership with the Canada Pension Plan Investment Board (CPP Investments). This collaboration involves a significant investment of up to ₹7,000 crore (CAD$1 billion) by CPP Investments, aimed at propelling CtrlS’s growth within India’s burgeoning digital infrastructure sector.

Anagram Partners played a pivotal role as legal advisors to CtrlS in this transaction. The team was spearheaded by Partners Shuva Mandal and Ankit Mishra. They received crucial support from Principal Jagdish Kaisare, Senior Associate Anoushka Shetty, and Associate Siddhant Sahu.

Comprehensive Guidance by TLH Advocates

TLH Advocates & Solicitors also provided extensive legal counsel to CtrlS throughout the transaction. Their guidance encompassed deal structuring, transaction documentation, and competition law advisory pertinent to the investment and joint venture arrangements. Deal Structure

The transaction is structured into two main components: a CAD$588 million equity investment by CPP Investments for an 8.2% stake in CtrlS Datacenters Ltd., and a CAD$441 million joint venture between CPP Investments and CtrlS to establish and manage data center campuses across India. These developments are poised to support the rapid expansion of India’s digital economy.

CtrlS’s Expansion and Innovation

Established in 2007, CtrlS operates 19 data centers across nine major markets in India, boasting over 370 MW of capacity and 4.4 GW of projects in various stages of execution. The company is at the forefront of developing next-generation AI-ready and hyperscale infrastructure. CtrlS continues to lead efforts in renewable energy and sustainable data center practices.
