Jupiter Wagons Limited, alongside Jupiter Tatravagonka Railwheel Factory Private Limited, has formed a strategic alliance with Lucchini RS and Simest, involving an acquisition of equity stakes in the Jupiter entities. The law firm Trilegal played a pivotal role in advising the Jupiter companies throughout this significant partnership.
Trilegal’s comprehensive legal counsel encompassed all facets of the transaction. This included the structuring, negotiation, drafting, and finalization of pivotal transaction documents. These documents, which include a shareholders’ agreement, share subscription agreement, marketing agreement, technical support agreement, and supply agreement, are instrumental in defining the governance framework, as well as the technical, commercial, and marketing collaboration between the joint venture partners.
The corporate team at Trilegal was spearheaded by Partners Abhishek Guha and Mahesh Wasadikar, with valuable contributions from Senior Associate Yash Modi and Associate Simran Chetwani. Additionally, the Trilegal Projects team was led by Partner Neeraj Menon, with assistance from Counsel Kaneeka Mehta, Senior Associate Arsha Jha, and Associate Yashaswi Belani.
On the other side of the table, JSA provided legal counsel to Lucchini Italy, with their team consisting of Partners Sandeep Mehta, Vishal Shah, and Senior Associate Yash Shah.
This strategic partnership aims to establish India’s first fully integrated private-sector railwheel manufacturing platform. The initiative will span the entire value chain, from raw material processing to the production of finished railway wheels, axles, and wheelsets. By merging Jupiter Wagons’ manufacturing prowess with Lucchini RS’s expertise in railwheel technology, engineering, and metallurgy, the partnership seeks to create a robust industrial synergy.
The transaction is supported by the Italian Government under the Sistema Italia framework, coordinated by the Italian Ministry of Foreign Affairs. As part of this initiative, SIMEST, the internationalization arm of the state-controlled CDP Group, will participate as an equity investor, while CDP Group will extend dedicated financial and advisory support to Lucchini RS.
