India’s capital markets are experiencing a remarkable surge in activity, with a significant increase in IPO volumes, transformative new-age technology listings, and unprecedented retail participation levels. In this dynamic environment, law firms are no longer willing to accommodate learning curves, expecting their associates to have comprehensive knowledge of the entire IPO process from the outset. This includes structuring, diligence, drafting the offer document, book-building, pricing, and ensuring post-listing compliance.
Recognizing the need for immediate readiness in capital markets practice, the National Law University, Delhi (NLU Delhi), through its Centre for Regulatory Studies (CRS), has teamed up with Mentblue to introduce a Certificate Course on Capital Market Transactions: Law & Practice (IPOs, QIPs, Rights & Hybrids). This course is part of ‘The Practice Series,’ a collaborative initiative designed to provide participants with an authentic experience of executing capital market transactions within Tier 1 ECM teams.

Course Modules
The course comprises five modules:
- Module 1: Introduction to the equity capital markets, key stakeholders, and the IPO roadmap and transaction timeline.
- Module 2: Examination of the regulatory framework, including SEBI ICDR, the Companies Act, SCRA, LODR, and continuous disclosure obligations.
- Module 3: Focus on legal due diligence, preparatory work, restated financials, the auditor’s comfort process, and a mid-course assignment workshop.
- Module 4: Detailed exploration of the offer document, key transaction agreements, marketing, book-building, pricing, anchor investors, allotment, and international offerings.
- Module 5: Post-listing obligations, corporate governance, REITs, InvITs, QIPs, rights issues, preferential allotment, FPOs, a final assignment workshop, and career roadmap session.

Programme Details
Enrollment is currently open for the course, which consists of 17 live online sessions across five modules, scheduled from August to October 2026. Classes are held on Saturdays and Sundays at 10:00 AM IST. The course is conducted online with a fee of ₹15,000 (inclusive of all taxes).
