This significant acquisition from Carmel Point Investments Ltd, a holding company of Warburg Pincus, is currently pending approval from the Insurance Regulatory and Development Authority of India (IRDAI) and the Competition Commission of India.
Innovative Restructuring Precedes Acquisition
The transaction was uniquely structured with a pre-closing restructuring process. Carmel Point India Investments initiated a voluntary liquidation which included an in-specie distribution of its assets, such as its stake in IndiaFirst Life Insurance, to its parent company. This move was a prerequisite to facilitate the acquisition.
