Guardian Life Insurance Divests Stake to HCL

The Guardian Life Insurance Company of America has successfully completed the divestment of its stake in Guardian India Operations Private Limited, its Technology & Operations Global Capability Centre (GCC) based in India, to HCL Technologies Limited.

This significant transaction was expertly advised by the prominent law firm Cyril Amarchand Mangaldas. The legal team was spearheaded by Akila Agrawal, a Senior Partner, along with Partners Megha Bhargava and Sreetama Sen. Their efforts were supported by Udyan Arya Shrivastava, a Principal Associate, Kumar Mangalam, and Pallav Gupta, both Senior Associates, as well as Associates Devansh Dixit and Siddharth Tiwari.

The taxation aspects of the transaction were overseen by SR Patnaik, Partner and Head of the Taxation division, with crucial support from Consultant Reema Arya, Principal Associate Shivam Garg, and Associate Hansujja Padhy.

Employment law considerations were managed by Partner Sowmya Kumar, with assistance from Director Luv Saggi. Additionally, competition law advice was provided by Partner Vijay Pratap Singh Chauhan, with Principal Associate Rajat Sharma lending support.

Strategic Partnership Between Guardian and HCL

This divestment involves the transition of approximately 2,000 Guardian India employees to HCLTech. Following this, HCLTech will establish a dedicated Strategic Business Unit exclusively focused on supporting Guardian, aiming to enhance technology innovation, engineering excellence, and operational transformation across Guardian’s products and services.

Moreover, Guardian and HCLTech have entered into a new seven-year expanded strategic partnership. This collaboration aims to boost value realization and efficiency for Guardian by delivering differentiated experiences and reducing friction, while also creating AI-led solutions and intellectual property for the insurance sector.
