S&R Associates and Trilegal Advise on Gaja Capital's ₹550 Crore IPO

Gaja Alternative Asset Management Limited, commonly known as Gaja Capital, has successfully raised ₹550 crore through an initial public offering (IPO) of equity shares. This financial move consisted of a fresh issue of shares alongside an offer for sale by certain shareholders.

S&R Associates provided legal counsel to Gaja Capital for this IPO, ensuring that all legalities were thoroughly managed. On the other side, Trilegal served as advisors to the book-running lead managers, which included JM Financial Limited and IIFL Capital Services Limited, guiding them through the complexities of the IPO process.

The transaction was spearheaded by Richa Choudhary and Murtaza Zoomkawala, both esteemed partners at their respective firms. They were ably supported by Rainika Malhotra, a Senior Associate, along with Associates Yatin Shikarpuri and Rajat Chauksey.

With over two decades of experience, Gaja Capital stands as an independent alternative asset management company. It has been instrumental in managing and advising India-focused funds, including both category I and category II alternative investment funds, as well as offshore funds targeting investments in India. Gaja Capital’s investment strategy emphasizes sectors such as digital technology, deep tech, financial services, education, and consumer industries, with a unique focus on the mid-market segment.

The IPO was overwhelmingly successful, being oversubscribed by more than 32.80 times. The capital generated from the fresh issue is earmarked for several key areas: sponsor commitments to current and planned funds, the repayment of bridge financing, and general corporate objectives.
