JSA Advocates & Solicitors played a pivotal role in advising Cisco Systems, Inc. on the Indian segment of its global acquisition of WideField Security Inc. This notable transaction saw JSA providing comprehensive legal and regulatory consultation specific to India, including due diligence of WideField’s Indian subsidiary, strategic structuring advice, and the drafting and review of transaction documents from an Indian legal standpoint. The team also managed negotiations, condition precedent (CP) fulfillment, and assisted with the transaction’s closure.
The transaction team was headed by Vivek K. Chandy, the Joint Managing Partner, and included key contributions from Saurya Bhattacharya (Partner), Mohammed Abid Hussain (Partner), along with Associates Sapna Kataria, Ishaan Bhatnagar, and Shraddha Kotiya. Additional support was provided by the Employment team, led by Preetha Soman (Partner) and Madhur Khandelwal (Principal Associate), as well as the Direct Tax team under the leadership of Kumarmanglam Vijay (Head of Practice, Direct Tax) and Aditya Patadia (Associate). On a broader scale, Fenwick served as Cisco’s lead counsel for the global transaction. Meanwhile, Gunderson Dettmer represented WideField Security in the transaction, with a team led by Partners Andrew Luh and David Moore, supported by Associates Sharon Leringato, Lizzie Jongeward, and Kimberly Sheehan, along with additional team members.

Through this acquisition, Cisco aims to advance its enterprise-level security solutions, addressing the growing challenges faced by organizations in maintaining robust security infrastructures.
