Honasa Consumer Limited Acquires Majority Stake in Fluence Pharma

Honasa Consumer Limited, the parent company behind the well-known personal care brand Mamaearth, has strategically acquired a 58% stake in Fluence Pharma Private Limited. The deal, valued at ₹135 crore, marks Honasa’s significant foray into the growing nutraceuticals market.

JSA Advocates & Solicitors played a pivotal role in advising Honasa on this substantial acquisition. The transaction was expertly managed by partners Lalit Kumar and Amandeep Singh Virk, who spearheaded the legal strategy. Fluence Pharma is renowned for its nutraceutical products under the brand names Hairfact and Skinfact. By acquiring a majority stake in this company, Honasa is not only expanding its portfolio but also venturing into the lucrative nutraceuticals sector.

Honasa has committed to acquiring the remaining shares in Fluence Pharma in two separate tranches, projected to occur over the next five to seven years. This strategic move is anticipated to bolster Honasa’s presence in the health and wellness industry, leveraging Fluence Pharma’s established market presence.
