In a significant move within the digital healthcare sector, London-based Menwell Limited, operating under the brand name Voy, has successfully acquired Earlyfit Health Private Limited. This 100% acquisition was executed through a secondary purchase of shares.
Leading Indian law firm, Khaitan & Co, played a pivotal role in advising Voy on this acquisition. The firm’s comprehensive counsel included strategizing the transaction’s structure in alignment with Indian foreign exchange regulations, negotiating and finalizing transaction documents, and conducting a thorough legal due diligence on Earlyfit Health. Additionally, Khaitan & Co provided guidance on subsequent fundraising efforts by Earlyfit Health from Voy, executed through external commercial borrowings post-acquisition.
The core team from Khaitan & Co comprised Monika Srivastava and Sanchit Agarwal, both Partners, along with Chirag Mangal, Principal Associate, and Senior Associates Aditi Gupta and Daanish Dube.
