KKR Completes Major Acquisition of Medicover India

In a landmark transaction, global investment firm KKR has successfully acquired the entire stake of Medicover in Sahrudaya Health Care Private Limited, the parent entity of Medicover Hospitals in India. This acquisition, valued at approximately €1.2 billion, marks a significant investment in the Indian healthcare sector.

Leading the legal counsel for Medicover and its minority shareholders was McDermott Will & Schulte. The team’s efforts were spearheaded by Partner Fatema Orjela and Counsel Zoe Woodhouse, with support from Medicover’s Relationship Partner Lisa Goransson, as well as Associates Arjun Sehgal and Raees Khan.

Cyril Amarchand Mangaldas also played a crucial role in representing Medicover. The team was led by Senior Partner Reeba Chacko and Partner Kota Chandan, with Associate Yash Chadha lending support. Partner Lakshmi Prakash advised on third-party financing repayment structuring and ECB assignment, while Partner Bharath Reddy, assisted by Principal Associate Dipti Khatri, managed the ESOP settlement mechanism. Partner Arpita Sengupta, along with Associate Yash Chadha, handled the transitional license agreement, and Partner Sharada Ramachandra addressed various corporate matters.

Support for Minority Shareholders

Trilegal provided counsel to the minority shareholders of Medicover India, guiding them through the sale of their stake to KKR. The transaction was led by Partners Nishant Parikh, Ashwin Sapra, and Sanjam Arora, with strategic support from Counsel Niharika Choudhary, Counsel Kartik Jain, Senior Associate Averal Sibal, and Associate Kashish Khandelwal.
