Aditya Birla Renewables Limited has entered into a definitive agreement to acquire the entire Sprng Energy group of companies from Shell plc. The acquisition deal values Sprng Energy at a significant $1.8 billion. This strategic move aims to bolster Aditya Birla Renewables’ presence in the renewable energy sector by adding substantial utility-scale assets to its portfolio.

The acquisition was facilitated by prominent legal advisory firms, with Khaitan & Co representing Aditya Birla Renewables. The core team from Khaitan & Co was led by Managing Partner Haigreve Khaitan, alongside Partners Akhil Bhatnagar, Kapish Mandhyan, and Bhagirath Ashiya. They were supported by Senior Associates Ashana Shah and Madhav Chandan, and Associates Ayushi Gupta and Krisha Devani. Additional expertise was provided by a team of partners and associates specializing in acquisition financing, insurance, competition law, regulatory matters, structuring, real estate, dispute resolution, and data protection.

Shell Overseas Investments B.V., a wholly-owned subsidiary of Shell plc, was advised by Trilegal on all legal aspects of the transaction. The Trilegal team was spearheaded by Partner Arnav Dayal, with Partners Vishal Sagar and Counsel Anisha Bhattacharjee providing crucial support. The team was further bolstered by experts from their projects and real estate divisions, including Partners Amar Narula, Megha Kaladharan, and Rahul Arora, along with Counsel Naman Mittal and Nishtha Kaur Arora.

Sprng Energy is a leading player in India’s renewable energy market, boasting a diversified portfolio of approximately 5 gigawatts (GW) of contracted solar and wind energy projects spread across various states. The acquisition is expected to enhance Aditya Birla Renewables’ growth trajectory by integrating Sprng Energy’s robust utility-scale assets with its existing strengths in the commercial and industrial segments.
