Parijat Industries (India) Limited has successfully acquired a retailer-focused digital commerce platform and its associated retail database from PEAT GmbH, an agri-input portfolio company under HELM AG, based in Germany. Shardul Amarchand Mangaldas & Co played a pivotal role in advising Parijat on both the acquisition and the broader strategic collaboration between the two parties.
The legal team from Shardul Amarchand Mangaldas provided comprehensive guidance on transaction documentation, conducted negotiations with HELM and its advisers, and addressed transaction-specific legal concerns from the signing and closing stages through to post-closing. The transaction advisory was spearheaded by Partners Devesh Pandey and Abhiroop Datta, along with Senior Associate Anushka Ganguli.
On the tax law front, Partners Gouri Puri and Rahul Yadav lent their expertise, while intellectual property matters were handled by Partner Apoorva Murali and Associate Anshika Chadha.

As part of this strategic arrangement, Parijat and its subsidiary, Leeds Life Sciences Private Limited, will gain exclusive rights to utilize the HELM brand within India.
