CMS INDUSLAW Guides Bosch in Strategic Joint Venture with TSF Group

Bosch Limited has announced a significant joint venture with TSF Group companies, Wheels India Limited and Brakes India Private Limited. This collaboration aims to engineer, manufacture, and market electronically-controlled and software-driven systems and modules for commercial vehicles.

Under the agreement, Bosch will acquire a 50% equity stake in the new joint venture company, with Wheels India and Brakes India collectively holding the remaining 50% stake. The legal advisory for Bosch in this transaction was provided by CMS INDUSLAW. The team involved included Stuti Agarwal, a Partner, and Wilfred Synrem, a Senior Associate, while strategic guidance was offered by Suneeth Katarki, a Founding and Senior Partner.

The joint venture is poised to leverage Bosch’s strengths in electronics, software, sensing, and control systems, integrating them with the mechanical design, pneumatic management, and manufacturing expertise of Wheels India and Brakes India. This partnership aims to bolster the development of next-generation electronically controlled air system products specifically designed for commercial vehicles. It also aligns with the growing trend of integrating software and intelligent systems within the automotive industry.

The joint venture will focus on creating specific products such as air compression systems, air processing systems, air suspension systems, and air parking brake systems for commercial vehicles. The distribution of these products is intended to reach multiple global markets, supported by the joint venture partners.

This strategic alliance is part of a broader trend in the industry, as evidenced by Bosch’s various initiatives, such as the joint venture with Tata AutoComp Systems aimed at enhancing India’s e-mobility infrastructure.
